Terms of Service

These Terms of Service ("Terms") are a contract between you and Citroot LLC, a California limited liability company, the provider of Daxoom ("Daxoom", "we", "us"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
Daxoom lets a business owner publish and maintain an owner-controlled profile of verified business facts — services, hours, prices, menus, locations, and AI-ready answers — and exposes them to AI assistants and agents through a web profile, REST API, and MCP server.
2. Accounts
- You must provide accurate information and keep your credentials secure. You are responsible for activity under your account.
- You must have authority to represent any business you add, claim, or connect.
- You must be at least 18 and able to form a binding contract.
3. Connecting Google Business Profile
If you connect Google, you authorize Daxoom to access your Google Business Profile data to prefill and re-sync your profile and to verify ownership, as described in the Privacy Policy. You may disconnect at any time from your Google Account permissions. You represent that you are an owner or authorized manager of any Google Business Profile you connect.
4. Your content and data
- You retain ownership of the business data you submit. You grant us a worldwide, non-exclusive license to host, process, and publish it through the Service for the purpose of operating Daxoom and serving it to the assistants, agents, and users you direct.
- You are responsible for the accuracy and legality of the data you publish and for having the rights to publish it.
5. Acceptable use
You agree not to: publish false, deceptive, infringing, or unlawful content; impersonate a business you do not represent; interfere with or abuse the Service; attempt to access data you are not authorized to access; or use the Service to violate Google's or any third party's terms.
6. Subscriptions and billing
- Paid plans are billed in advance through our payment processor (Stripe) on the cycle shown at checkout. Fees are non-refundable except where required by law.
- Free tiers are provided as-is and may change. Metered add-ons (e.g. additional locations) are billed as described at purchase.
- You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current period.
7. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms or to protect the Service or others. On termination we may delete your data as described in the Privacy Policy.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that third-party data (including data imported from Google) is accurate.
9. Limitation of liability
To the maximum extent permitted by law, Citroot LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim.
10. Indemnification
You agree to indemnify and hold harmless Citroot LLC from claims arising out of your content, your use of the Service, or your violation of these Terms.
11. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in California.
12. Changes
We may update these Terms. Material changes take effect on the "Last updated" date or as otherwise noticed; continued use means you accept them.
